Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the software, websites, and related services (the "Service") provided by Next Wave Apps ("Next Wave Apps", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Next Wave Apps provides a software-as-a-service (SaaS) product offered on a subscription basis. We may update, improve, or modify features of the Service from time to time.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information (including a valid email address) and keep it up to date.

3. Subscriptions, Plans & Free Trial

The Service is sold as monthly and annual subscriptions across the following plans: Starter, Pro, and Advanced. New users may be offered a 7-day free trial. Unless you cancel before the trial ends, your subscription will automatically convert into a paid subscription at the then-current price for your selected plan and billing interval.

Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. You can cancel at any time; your access continues until the end of the paid period. See our Refund & Cancellation Policy for details.

4. Payments — Paddle as Merchant of Record

Payments for the Service are processed by Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record for all orders. This means Paddle is the seller of record and is responsible for handling the transaction, including collecting and remitting applicable sales taxes or VAT.

When you purchase a subscription, your purchase is also subject to Paddle's Buyer Terms, which apply to the transaction between you and Paddle. Paddle handles card processing; Next Wave Apps does not store your full payment card details.

5. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law;
• Reverse engineer, resell, or sublicense the Service;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure;
• Use the Service to send spam or malicious content.

6. Intellectual Property

The Service, including all software, content, and trademarks, is owned by Next Wave Apps or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

7. Termination

We may suspend or terminate your access to the Service if you breach these Terms. You may stop using the Service and cancel your subscription at any time via the customer portal.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, to the maximum extent permitted by applicable law.

9. Limitation of Liability

To the maximum extent permitted by law, Next Wave Apps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by reasonable means, such as by email or through the Service.
